1. General
These Terms of Service ("Terms") govern the use of software products and related services (collectively, the "Service") provided by SIA Inc. ("we", "us", or "the Company") through SIA Studio Store (the "Site").
By purchasing a product or receiving a license through the Site, you agree to be bound by these Terms.
2. Definitions
- "User" — An individual or entity that purchases a product or obtains a license through the Site
- "Product" — A software application sold by us through the Site
- "License" — A non-exclusive right to use a Product, granted by us to the User
- "License Key" — A unique identification code issued to activate a License
- "Device" — A computer or terminal on which the Product is installed and used
3. Scope
These Terms apply to products sold directly through the Site ("direct sales").
For applications available on the App Store that are featured on the Site, Apple Inc.'s terms and the applicable end-user license agreements apply. These Terms do not apply to App Store applications.
4. License Grant
4.1 Grant of Use
We grant the User a non-exclusive, non-transferable, non-sublicensable license to use the purchased Product.
4.2 Activation
- A License Key is required to activate and use the Product.
- The number of Devices that may be activated is subject to the limit specified at the time of purchase.
- Users may manage their Devices (deactivate/add) through the portal.
4.3 License Scope
- A License is granted for the major version of the Product at the time of purchase.
- Minor updates are provided at no additional cost.
- Major version upgrades may be subject to separate upgrade terms.
5. Prohibited Activities
Users shall not engage in any of the following:
- Reverse engineering, decompiling, or disassembling the Product
- Transferring, sharing, publishing, or selling License Keys to third parties
- Modifying or manipulating the Product to circumvent activation restrictions
- Redistributing the Product (whether free or paid)
- Obtaining or using the Product through fraudulent means
- Infringing the intellectual property rights of us or third parties
- Interfering with the operation of the Service
6. Minors
This Service is not intended for individuals under the age of 16. If a minor (as defined by applicable law) uses the Service or makes a purchase, the minor must obtain the consent of a parent or legal guardian, and we may request verification of such consent where necessary.
7. Payment and Pricing
- Payments are processed through Stripe.
- The price displayed on the Site at the time of purchase applies.
- We may change prices with prior notice. However, changes do not affect previously purchased Licenses.
Prices displayed on this Site are shown in Japanese Yen (JPY) or U.S. Dollars (USD) depending on the language mode selected by the User. The currency applicable to your purchase is finally determined and shown on the checkout/payment screen, and such display shall prevail. Taxes and any payment/processing fees applicable to your purchase are also shown on the checkout/payment screen. Exchange rates and fees set by card issuers or payment providers may apply and are borne by the User.
8. Refunds
8.1 General Policy
Due to the nature of digital products, refunds are generally not available after purchase. Please review the product features and system requirements before purchasing.
8.2 Exceptions
Refund requests may be considered within 14 days of purchase only in the following circumstances:
- The purchased Product does not function properly in your environment (and the issue remains unresolved after our support assistance)
- A technical issue prevents the use of the Product's core functionality
- The Product's actual features differ significantly from its description
8.3 Effect of Refunds
- If a full refund is issued, the associated License will be automatically revoked.
- In the case of a partial refund, the License remains active.
8.4 Refund Requests
To request a refund, please contact us within 14 days of purchase at , including your purchase email address and a description of the issue.
9. Intellectual Property
All intellectual property rights in the Product (including copyrights, patents, and trademarks) belong to us or the rightful owners. The grant of a License does not constitute a transfer of intellectual property rights.
10. Disclaimer and Limitation of Liability
10.1 As Is
The Product is provided "AS IS." We make no express or implied warranties regarding the completeness, accuracy, fitness for a particular purpose, or uninterrupted operation of the Product.
10.2 Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages (including loss of data, business interruption, or lost profits) arising from the use or inability to use the Product, except where caused by our willful misconduct or gross negligence.
10.3 Cap on Damages
Our total liability shall not exceed the amount paid by the User for the relevant Product.
11. License Suspension and Revocation
- If a User violates these Terms, we may suspend or revoke the License.
- If unauthorized use is confirmed, we may revoke the License without prior notice.
- License revocation in connection with refunds is governed by Section 8.
12. Privacy
The handling of personal information is governed by our Privacy Policy.
13. Cookies
We may use cookies and similar technologies to provide, maintain, and improve the Service and to analyze usage. For details on cookies and similar technologies, please refer to the Privacy Policy.
14. Support
- We provide support for the Product via .
- Support is limited to basic usage guidance and bug resolution for the Product.
- We do not guarantee support availability or response times.
15. Changes to These Terms
We may revise these Terms in response to legal changes or updates to our services. Significant changes will be announced on the Site. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of Japan.
- Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
However, if mandatory laws of the User's country/region of residence (including consumer protection laws) apply, such laws shall prevail to the extent they are mandatory.
