1. General
These Terms of Service ("Terms") govern the use of software products and related services (collectively, the "Service") provided by SIA Inc. ("we", "us", or "the Company") through SIA Studio Store (the "Site").
By purchasing a product or receiving a license through the Site, you agree to be bound by these Terms.
2. Definitions
- "User" — An individual or entity that purchases a product or obtains a license through the Site
- "Product" — A software application sold by us through the Site
- "License" — A non-exclusive right to use a Product, granted by us to the User
- "License Key" — A unique identification code issued to activate a License
- "Device" — A computer or terminal on which the Product is installed and used
3. Scope
These Terms apply to products sold directly through the Site ("direct sales").
For applications available on the App Store that are featured on the Site, Apple Inc.'s terms and the applicable end-user license agreements apply. These Terms do not apply to App Store applications.
3.1 Who You Contract With When Buying From Outside Japan
If you reside outside Japan and make a purchase that involves a payment through the Site, that payment is taken through Stripe's Managed Payments and the seller of record for the sale is Sold through Link, LLC ("Link"). Where no payment arises — for example when a 100% discount coupon applies — Link is not involved and we issue the licence directly. Link collects the payment in its own name, determines and collects any applicable tax, and issues the invoice.
Even so, we are the party that grants your licence and provides updates and support. The provisions of these Terms that set out our obligations — the licence grant and its scope (Section 4), prohibited activities (Section 5), the refund guarantee (Section 8), intellectual property (Section 9) and support (Section 14) — apply to purchases from outside Japan as well. Link's own terms apply in addition, to the sale itself.
4. License Grant
4.1 Grant of Use
We grant the User a non-exclusive, non-transferable, non-sublicensable license to use the purchased Product.
4.2 Activation
- A License Key is required to activate and use the Product.
- The number of Devices that may be activated is subject to the limit specified at the time of purchase.
- Users may manage their Devices (deactivate/add) through the portal.
4.3 License Scope
- A License is granted for the major version of the Product at the time of purchase.
- Minor updates are provided at no additional cost.
- Major version upgrades may be subject to separate upgrade terms.
5. Prohibited Activities
Users shall not engage in any of the following:
- Reverse engineering, decompiling, or disassembling the Product
- Transferring, sharing, publishing, or selling License Keys to third parties
- Modifying or manipulating the Product to circumvent activation restrictions
- Redistributing the Product (whether free or paid)
- Obtaining or using the Product through fraudulent means
- Infringing the intellectual property rights of us or third parties
- Interfering with the operation of the Service
6. Minors
This Service is not intended for individuals under the age of 16. If a minor (as defined by applicable law) uses the Service or makes a purchase, the minor must obtain the consent of a parent or legal guardian, and we may request verification of such consent where necessary.
7. Payment and Pricing
- Payments are processed through Stripe. For purchases from outside Japan, Link takes the payment as seller of record, as described in Section 3.1.
- The price displayed on the Site at the time of purchase applies.
- We may change prices with prior notice. However, changes do not affect previously purchased Licenses.
All prices shown on this Site include tax. Where consumption tax, VAT, sales tax or any similar tax applies, it is already included in the displayed price. Rates differ by country of residence, but the total you pay is the price shown — no tax is added at checkout. The tax component is itemised on the checkout screen and on your order record after purchase.
Prices displayed on this Site are shown in Japanese Yen (JPY) or U.S. Dollars (USD) depending on the language mode selected by the User. The currency used for payment is finally determined and shown on the checkout screen, and such display shall prevail. For purchases from outside Japan, the payment provider may present and charge the amount converted into your local currency. Where a foreign currency is displayed or charged, currency conversion fees set by your card issuer may apply separately and are borne by the User.
No payment to us other than the displayed price arises. Any data charges for downloading the Product are borne by the User.
8. Refunds
8.1 14-Day Money-Back Guarantee
For Products purchased directly from this site, we will refund your purchase within 14 days, for any reason. You do not need to report a fault, and it does not matter whether you have used the Product.
A free trial is available before purchase, and we recommend deciding during the trial. If the Product still does not meet your expectations after buying, the guarantee above applies.
8.2 Where to Request a Refund
The refund channel depends on where you bought the Product, even for the same title.
- Purchased on the App Store — Refunds are handled by Apple. We cannot issue them. Please contact Apple Support.
- Purchased on this site (Japan) — We are the seller. Please contact us at the address below.
- Purchased on this site (outside Japan) — Link is the seller of record, and Link Support handles refund requests first.
Link's refund conditions are not the same as our guarantee in 8.1. Link decides under its own policy, and it may decline a request made simply because you changed your mind. If that happens, we will still refund you under 8.1, provided you are within 14 days of purchase. If Link Support does not resolve it, contact us directly using the details in 8.6. Our guarantee covers every product bought through this Site, whichever route the payment took.
8.3 Right of Withdrawal (Consumers in the EU, EEA and the UK)
If you are a consumer resident in the EU, EEA or the United Kingdom, you may withdraw from the contract within 14 days of the day it was concluded, without giving any reason. The guarantee in 8.1 does not limit that right.
How to withdraw — Send us a clear statement of your decision to withdraw, in writing (email is fine), within the withdrawal period. You may use the model form below, but you are not required to. It is enough that you send your notice before the period expires.
| Postal address | SIA Inc., Azabu High Plaza 2F, 2-2-13 Minami-Azabu, Minato-ku, Tokyo 106-0047, Japan |
|---|---|
Model withdrawal form (optional) — “I hereby give notice that I withdraw from my contract of sale for the following goods. / Ordered on: ____ / Order number: ____ / Name of consumer: ____ / Email used for the purchase: ____ / Date: ____”
Effect of withdrawal — We will reimburse all payments received from you within 14 days of the day we are informed of your decision, using the same means of payment you used. You will not incur any fees as a result of the reimbursement.
8.4 Immediate Supply of Digital Content and Loss of the Withdrawal Right
The Products sold on this Site are digital content supplied by download, and supply begins as soon as payment completes.
For that reason, if you reside outside Japan, checkout asks for your express agreement to both of the following. You cannot complete a purchase without agreeing.
- That you request supply to begin immediately, before the withdrawal period has expired
- That you acknowledge you lose your statutory right of withdrawal once supply has begun
This follows Article 16(m) of the EU Consumer Rights Directive (2011/83/EU) and Regulation 37 of the UK Consumer Contracts Regulations 2013.
Losing the statutory right does not affect our own 14-day money-back guarantee in 8.1, which we offer voluntarily and separately from the statutory right.
8.5 Effect of Refunds
- If a full refund is issued, the associated License will be automatically revoked.
- In the case of a partial refund, the License remains active.
8.6 Requesting a Refund
Contact us within 14 days of purchase at with the email address used for the purchase. Giving a reason is optional.
9. Intellectual Property
All intellectual property rights in the Product (including copyrights, patents, and trademarks) belong to us or the rightful owners. The grant of a License does not constitute a transfer of intellectual property rights.
10. Disclaimer and Limitation of Liability
10.1 As Is
The Product is provided "AS IS." We make no express or implied warranties regarding the completeness, accuracy, fitness for a particular purpose, or uninterrupted operation of the Product.
This does not, however, exclude any liability for non-conformity or other liability we bear under applicable law. Where you are a consumer, this section does not apply to the extent it would conflict with Japan's Consumer Contract Act or any other mandatory law.
10.2 Limitation of Liability
Where you suffer loss through our fault, we are liable for ordinary, direct loss.
Except where we have acted with willful misconduct or gross negligence, we are not liable for indirect, special, consequential or incidental loss (including loss of data, business interruption or lost profits).
10.3 Cap on Damages
Our total liability under the preceding paragraph shall not exceed the amount you paid us for the relevant Product.
This cap does not apply where we have acted with willful misconduct or gross negligence, nor to death or personal injury caused by our fault.
11. License Suspension and Revocation
- If a User violates these Terms, we may suspend or revoke the License.
- If unauthorized use is confirmed, we may revoke the License without prior notice.
- License revocation in connection with refunds is governed by Section 8.
12. Privacy
The handling of personal information is governed by our Privacy Policy.
13. Cookies
We may use cookies and similar technologies to provide, maintain, and improve the Service and to analyze usage. For details on cookies and similar technologies, please refer to the Privacy Policy.
14. Support
- We provide support for the Product via .
- Support is limited to basic usage guidance and bug resolution for the Product.
- We do not guarantee support availability or response times.
15. Communications and Marketing
- By providing your email address to us through the purchase of a Product, the issuance of a License, an inquiry, or otherwise, you are deemed to have agreed to receive emails from us regarding our products and services (including announcements of new products, updates, sales, campaigns, newsletters, events, and similar communications).
- You may unsubscribe from marketing emails at any time via the unsubscribe link included in each such email or by contacting our support.
- Even after unsubscribing, we will continue to send communications necessary for the performance of our transactions with you, including those relating to purchases, Licenses, support, incidents, security, and material changes.
16. Changes to These Terms
We may revise these Terms in response to legal changes or updates to our services. Significant changes will be announced on the Site. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of Japan.
- Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
However, if mandatory laws of the User's country/region of residence (including consumer protection laws) apply, such laws shall prevail to the extent they are mandatory.
